WONDERCIDE REWARDS PROGRAM:
TERMS AND CONDITIONS

The Program is offered at the sole discretion of Wondercide LLC (“Wondercide,” “we,” “our” or “us”).  When you join Rewards, it allows you to earn Points on your purchases made in the United States at Wondercide website at www.wondercide.com.

2. Membership

A. Eligibility: The Program is available to individuals for their personal use only and is limited to one account per individual.  Corporations, associations or other groups may not participate in the Program.  Individuals who are legal residents of the United States (including its territories and possessions) and at least 18 years or older and who provide and maintain a valid email address are eligible to become members.  No purchase is necessary to join the Program. The Program may not be used for any business or commercial purpose and we may refuse to create an account for any reason. Employees of all Wondercide LLC brands, individuals employed by our business partners or vendors, and individuals receiving a discount or free product to represent a Wondercide LLC brand are not eligible.

By joining the Program and becoming a Program member, you (individually and collectively, “you,” “your,” or “Member”), agree that you have read, understood and agree to be bound by these Terms and by any changes or modifications we may make.  You should review these Terms and the related policies and FAQs frequently to understand the terms and conditions that apply to the Program as they may change from time to time.  These Terms do not alter in any way the terms or conditions of any other agreement you may have with us, including any agreement for products or services.  By enrolling in the Program, you also agree to be bound by our website Privacy Policy and our website Terms and Conditions, which are incorporated herein by reference.  If you do not agree to these Terms, our website Privacy Policy, and our website Terms and Conditions, you cannot participate in the Program.  The Program and these Terms are void where prohibited by law

B. How to Join: You may register to become a Rewards Member online at www.wondercide.com/rewards by creating a Rewards account, following the Program prompts to register for the Program and indicating that you want to be a Rewards Member or if you already have an account at www.wondercide.com, by merely indicating that you want to be a Rewards Member at www.wondercide.com/rewards. To create an account, go to www.wondercide.com and click on "Rewards" at the top of the home page and provide the information to create an account.

Once you make the request online you will be considered a Member and start earning Points, but for complete access to all the Member Benefits (as described below), you must have, or create, an account online at www.wondercide.com/rewards, which will also be your Program account.

C. Accessing Point Information and other Member Benefits: In order to be able to access how many Points you have earned, you must have an account at www.wondercide.com/rewards. When setting up the account at www.wondercide.com/rewards, you are responsible for creating a complex password to protect your account and for ensuring that you do not share your password with others.

D. Updating information: You are responsible for providing the correct email address to ensure proper accounting of Points and receipt of Rewards. As a result, each Member is responsible for maintaining accurate and updated personal information, including your email address. You may update your personal information online at www.wondercide.com/rewards or by calling: 877-896-7426.

3. Earning Points

When you shop at www.wondercide.com (the “Site”) you will automatically receive one (1) Point for every $1 (USD) spent on any eligible product that is purchased (a "Qualifying Purchase," as further described below).

The Points earned from purchases will be added into your Rewards account when you provide your email address used to become a Member, at the time of purchase. It can take 1-5 days for your Points to appear in your account.  All points earned from purchases on the Site are pending until your order ships, at which point they are fully matured and capable of redemption.

C. Qualifying Purchases include regular and sale priced merchandise at the Site. No Points are earned when purchasing Gift Cards or eGift Cards from Wondercide. In addition, no Points are earned for payment of sales tax, gift boxes or wrapping, or for shipping and handling costs and/or other excluded charges specified by us from time-to-time. No Points are earned for purchase of Wondercide branded items at wholesale dealers.

D. The Points you have earned through a Qualifying Purchase (including bonus Points for designated products, if applicable) by providing your email address at the time of purchase, will be netted from your overall Points total if the item is returned. Returns of merchandise purchased will be deducted from the Member's Points balance. Points have no cash value and may never be exchanged for cash. You cannot give or transfer your Points to anyone else. Points are valid for one year from each applicable “award date.” The award date is the date new points were added to your Program account.  If points are not used within a 12-month period from the award date applicable for each such points, points equal to the amount awarded on each applicable 12 month anniversary of such award date will be deducted from your Program account.

4. Member Benefits

A. “Rewards” means coupons issued for discounts off purchases from the Site and redeemable subject to these Program terms; Rewards are promotional items for Members of the Rewards Program and are not Gift Cards or eGift Cards of Wondercide.

B. Rewards are sent electronically to the email address associated with your Rewards Program account. Once issued, members can also access their Reward by logging in to their member dashboard on the Site. To redeem offers and rewards, you must have accumulated the minimum number of points as established by us for a particular benefit. Product rewards and samples are shipped with product purchases on the Site only. You must be logged in to your Program account to use your benefits.

Rewards may only be redeemed via the Site. Return of items purchased with a Reward will not result in a return of the Points redeemed by use of that Reward.

Offers and rewards are available while supplies last and substitutions made by us in our sole discretion may occur. If your online order is not completed for any reason, any offers or rewards will be removed from your shopping basket and may no longer be available. You are not required to redeem your accumulated rewards and/or benefits. We are unable to reship offers or rewards if they arrive damaged, if you received the wrong one or if one is missing from your order. In the event an offer or reward arrives damaged, you received the wrong one, or one is missing from your order, please contact us by calling: 877-896-7426.

Purchase balances and/or points credited to your Program account will be decreased or reversed, as applicable, if part or all of a purchase is returned or cancelled or if the credit is obtained through fraudulent or other activity that violates these Terms.  The sale, barter, transfer, or assignment of any rewards or benefits offered through the Program, other than by us, is expressly prohibited.

The products and services available through the Program and any samples that we may provide to you are for personal use only. You may not sell or resell any of the products, services, or samples you purchase or otherwise receive from us. We reserve the right, without notice, to cancel or reduce the quantity of any order to be filled and/or any products or services to be provided to you that we believe, in our sole discretion, may result in the violation of our Terms.

We are not responsible for rewards, benefits and/or points lost or redeemed due to fraudulent activity by you or any third party.

We reserve the right to change Program benefits, how you earn points and how we evaluate and reward your eligible purchases and/or other Program activity.  We reserve the right to place limits on the number of purchases or activities that are eligible for the Program, the number or types of rewards or benefits you may receive or earn in a given time period or for the duration of the Program, and/or any combination thereof.

If you have concerns that a purchase or other activity was not properly applied to your account, you should contact us by calling: 877-896-7426. You must specify your name and email address associated with the Program, the date of the Program activity, and the issue(s) you encountered.  You must contact us no more than forty-five (45) days after the date the purchase or other Program activity took place.  We are not responsible for late notifications about purchases or other Program activities not being credited to an account.

Rewards can only be redeemed on the Site and only with a product purchase, unless otherwise noted by Wondercide.

C. Wondercide, in its sole discretion, may offer additional opportunities for Members to use Points.

D. Rewards Members may also have first access to new products, special offers and gifts, and be invited to participate in exclusive experiences for Rewards Members.

5. Email and Privacy

A. By registering for the Program, you agree to receive transactional emails regarding the Rewards Program from Wondercide. These may include information about Program Points and Rewards, Program updates, and other related materials at the discretion of Wondercide. Members may not unsubscribe from transactional emails of the Program, but can cancel their membership in the Program as described below in the General Terms. When registering for the Program, Members will have the option of signing up to receive promotional email offers and updates from Wondercide. Members may unsubscribe from Wondercide promotional emails at any time via the unsubscribe link in those emails.

B. By registering for the Program, you consent to the collection and use of your personal information as described in the Wondercide Privacy Policy.

6. Disclaimer of Warranties; Limitation of Liability

A. YOU AGREE THAT NEITHER WONDERCIDE NOR OUR PARENTS, SUBSIDIARIES, AFFILIATES, PARTNERS, OR LICENSORS WILL BE RESPONSIBLE OR LIABLE IN CONTRACT, WARRANTY OR IN TORT (INCLUDING NEGLIGENCE) FOR ANY (i) INTERRUPTION OF BUSINESS; (ii) ACCESS DELAYS OR ACCESS INTERRUPTIONS TO THE PROGRAM; (iii) DATA NON-DELIVERY, LOSS, THEFT, MISDELIVERY, CORRUPTION, DESTRUCTION OR OTHER MODIFICATION; (iv) LOSS OR DAMAGES OF ANY SORT INCURRED AS A RESULT OF DEALINGS WITH OR THE PRESENCE OF THIRD PARTY LINKS ON THE SITE OR USE OF ANY REWARD OR BENEFIT OF THE PROGRAM; (v) COMPUTER VIRUSES, SYSTEM FAILURES OR MALFUNCTIONS WHICH MAY OCCUR IN CONNECTION WITH YOUR USE OF THE SITE, INCLUDING DURING HYPERLINK TO OR FROM THIRD PARTY WEBSITES; (vi) ANY INACCURACIES OR OMISSIONS IN PROGRAM CONTENT; OR (vii) EVENTS BEYOND OUR REASONABLE CONTROL. WE MAKE NO REPRESENTATIONS OR WARRANTIES THAT DEFECTS OR ERRORS WILL BE CORRECTED.

B. FURTHER NEITHER WONDERCIDE NOR OUR PARENTS, SUBSIDIARIES, AFFILIATES, PARTNERS, OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING LOST PROFITS) RELATED TO THE PROGRAM OR AND YOUR PARTICIPATION THEREIN, WHETHER IN CONTRACT, WARRANTY OR IN TORT (INCLUDING NEGLIGENCE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND IN NO EVENT SHALL OUR MAXIMUM AGGREGATE LIABILITY EXCEED ONE HUNDRED DOLLARS ($100.00).

C. YOU AGREE THAT NO CLAIMS OR ACTION IN CONTRACT, WARRANTY OR IN TORT (INCLUDING NEGLIGENCE) ARISING OUT OF, OR RELATED TO, YOUR PARTICIPATION IN THE PROGRAM, USE OF ANY REWARDS OR OTHER BENEFIT OR THESE TERMS MAY BE BROUGHT BY YOU MORE THAN ONE (1) YEAR AFTER THE CAUSE OF ACTION RELATING TO SUCH CLAIM OR ACTION AROSE. IF YOU ARE DISSATISFIED WITH THE PROGRAM, TERMINATION OF YOUR MEMBERSHIP IN THE PROGRAM IS YOUR SOLE REMEDY. WE HAVE NO OTHER OBLIGATION, LIABILITY, OR RESPONSIBILITY TO YOU.

7. Indemnification

You agree to defend, indemnify and hold us, our parents, subsidiaries, affiliates, partners, licensors, officers, directors, employees, and agents harmless for any loss, damages or costs, including reasonable attorneys' fees, resulting from any third party claim, action, or demand resulting from your participation in the Program in violation of any law, rule, regulation or these Terms.

8. Governing Law

These Terms shall be governed by and construed and enforced in accordance with the United States Federal Arbitration Act, other applicable federal laws and the laws of the State of Texas, without regard to conflict of laws principles. The parties agree that neither the United Nations Convention on Contracts for the International Sale of Goods, nor the Uniform Computer Information Transaction Act (UCITA) shall apply to these Terms, regardless of the states in which the parties do business, reside or are incorporated.

9. Binding Arbitration and Class Action Waiver

A. ALL CLAIMS ARISING IN CONNECTION WITH THESE TERMS SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION RATHER THAN IN COURT, EXCEPT THAT YOU MAY ASSERT CLAIMS IN SMALL CLAIMS COURT (DEFINED FOR THE PURPOSES OF THIS TOS AS A COURT OF LIMITED JURISDICTION THAT MAY ONLY HEAR CLAIMS NOT EXCEEDING $5,000) IF YOUR CLAIMS ARE WITHIN THE COURT’S JURISDICTION. THERE IS NO JUDGE OR JURY IN ARBITRATION, AND COURT REVIEW OF AN ARBITRATION AWARD IS LIMITED.

B. The arbitration shall be conducted by the American Arbitration Association (AAA) under its then-applicable Commercial Arbitration Rules or, as appropriate, its Consumer Arbitration Rules. The AAA’s rules are available at http://www.adr.org/. Payment of all filing, administration and arbitrator fees shall be governed by the AAA’s rules. The arbitration shall be conducted in the English language by a single independent and neutral arbitrator. For any hearing conducted in person as part of the arbitration, you agree that such hearing shall be conducted in Austin, Texas or, if the Consumer Arbitration Rules apply, another location reasonably convenient to both parties with due consideration of their ability to travel and other pertinent circumstances, as determined by the arbitrator. The decision of the arbitrator shall be final and binding. Judgment on the arbitral award may be entered in any court of competent jurisdiction.

C. WE EACH AGREE THAT ALL CLAIMS SHALL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION OR OTHER SIMILAR PROCESS (INCLUDING ARBITRATION). IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, WE EACH WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE THAT SUCH CLAIM SHALL BE BROUGHT ONLY IN A COURT OF COMPETENT JURISDICTION IN AUSTIN, TEXAS. YOU HEREBY SUBMIT TO THE PERSONAL JURISDICTION AND VENUE OF SUCH COURTS AND WAIVE ANY OBJECTION ON THE GROUNDS OF VENUE, FORUM NON-CONVENIENS OR ANY SIMILAR GROUNDS WITH RESPECT TO ANY SUCH CLAIM.

D. If Wondercide implements any material change to this Section 9, such change shall not apply to any Claim for which you provided written notice to Wondercide before the implementation of the change.

10. General Terms of the Rewards Program

A. Membership in the Rewards Program and its benefits are offered at the discretion of Wondercide, which reserves the right to terminate, change, limit, modify, or cancel any Program rules, regulations, benefits, or conditions of participation at any time, with or without notice. In the event of cancellation, Points earned up to the date of cancellation will be issued according to the Terms in place immediately prior to cancellation.

B. Wondercide may change or modify these Terms at any time. We will post the revision date with the revised Terms on the Site. Electing to remain a Member after a change in the Terms constitutes your acceptance of the revised Terms. The revisions to the Program that Wondercide may make include, but are not limited to, any of the following changes: (i) increase or decrease the number of Points earned on a Qualifying Purchase; (ii) increase the number of Points required to earn a Reward and/or access to member benefit, (iii) cease providing member benefits; (iv) change the method of becoming a Member; and/or (v) institute or add blackout dates for earning Points or using member benefits or Rewards.

C. In the event of a dispute over ownership of a Rewards account, the registration will be declared to have been made by the authorized account holder of the email address submitted at the time of registration. For purposes of these Terms, the "authorized account holder" is the natural person who is assigned to the submitted email address by an internet provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

D. Abuse of the Program, including failure to abide by these Terms, the sale or barter (or the attempted sale or barter) of Rewards, Points, or promotional offers, and any misrepresentation of fact relating thereto or other improper conduct as determined by Wondercide in its sole judgment may result in cancellation of a Member's account and future disqualification from Program participation, forfeiture of all Points accrued, and cancellation of previously issued but unused Rewards. At our discretion we may prosecute abuse of the Program to the fullest extent of the law

E. You may cancel your Rewards membership at any time by calling Customer Services at 877-896-7426. If you cancel your Rewards membership, your accrued Points will be forfeited.

F. Points are not transferable and may not be combined among Members or conveyed by any means to anyone, including through a Member's estate, and may not pass to a Member's successors and assigns. Accrued Points do not constitute property of the Member. Accrued Points are not transferable by the Member upon death, as part of a domestic relations matter, or otherwise.

G. Wondercide logo, Rewards Program logo, and other logos and taglines are the intellectual property of Wondercide.
